This Ticket confirmation (collectively defined as “Confirmation”) will be exchanged for a revocable ticket to attend the 2020 Miss USA Pageant (Event) at Graceland in Memphis, Tennessee for only the times and dates set forth on the Ticket. The ticket may be revoked without refund/other consideration if holder: (a) tampers with or attempts to transfer/re-sell/repackage this Ticket; (b) violates any Event rules/ regulations, venue security restrictions, or the instructions of authorized personnel; (c) solicits contributions or distributes literature/promotions on or around the Event site without prior written permission from the Event; (d) uses foul/abusive language or obscene gestures, or otherwise engages in inappropriate, disruptive, or illegal behavior (as determined by the Event); or (e) as otherwise determined by IMG Universe, LLC “MUO”) in its sole discretion. All items brought through the gate area into any Event or Graceland controlled/sanctioned venue are subject to inspection. It is unlawful to reproduce Tickets. No re-entry. Lost or stolen Tickets may be replaced at option of Event. Use of any parking site provided for Event attendees is entirely at the risk of the vehicle driver and/or owner. ALL SALES ARE FINAL. NO REFUNDS, CANCELLATIONS OR EXCHANGES WILL BE OFFERED OR PERMITTED UNLESS OTHERWISE STATED HEREIN. If the entire Event is cancelled (or if the Event is held without fans), and Ticketholder purchased its Ticket through the “Official Event Ticket Channels” (and any hyperlink accessed by a Ticket purchaser through,event will notify buyer to call Graceland so that they may issue a refund of face value paid for the Ticket (if any; or, for a discounted Ticket, the discounted Ticket price paid) to the credit card, debit card, or other accepted method of payment that purchaser used to purchase the Ticket. The foregoing is subject to applicable law and is limited to Tickets purchased directly through Official Event Ticket Channels, and does not apply to any Ticket (i) purchased via the secondary market, (ii) provided on a complimentary or barter basis, or (iii) issued in connection with any sponsorship. If a Ticket was purchased through another method, please contact the person or entity from whom such Ticket was purchased, as Event will not issue a refund directly to Ticketholder therefor. In no event will delivery charges or any other amounts be refunded. There will be no liability on the part of any of the Releasees (defined below) for travel or any other expenses that Ticketholder or anyone else incurs in connection with a canceled Event (or Event held without fans). Event dates and times are subject to change by MUO and the Releasees in their sole discretion. TICKETHOLDER, FOR HIMSELF/HERSELF/THEMSELVES AND ON BEHALF OF HIS/HER/THEIR PERSONAL REPRESENTATIVES, ASSIGNS, HEIRS, AND NEXT OF KIN, AND ANY MINOR(S) IN ACCOMPANIMENT WITH TICKETHOLDER AT THE EVENT OR ANY OF ITS RELATED ACTIVITIES, (1) VOLUNTARILY ASSUMES ALL RISKS AND DANGERS INCIDENTAL TO ATTENDING THE EVENT AND RELATED ACTIVITIES, FROM BOTH KNOWN/ UNKNOWN CAUSES AND BOTH OBVIOUS/HIDDEN CONDITIONS AND RELEASES MUO, IMG WORLDWIDE, LLC (“IMG”), ELVIS PRESLEY ENTERPRISES, GRACELAND, EVENT ORGANIZERS, TELEVISION BROADCASTERS, PARTNERS, SPONSORS, VENDORS, AND EACH OF THEIR RESPECTIVE AFFILIATED, RELATED OR OWNED COMPANIES, AND EACH OF THEIR RESPECTIVE MEMBERS, EMPLOYEES, AGENTS, CONTRACTORS, VOLUNTEERS, OWNERS, MANAGERS, SHAREHOLDERS, LICENSEES, OFFICERS, DIRECTORS, AND AFFILIATES (“RELEASEES”) FROM ANY AND ALL LIABILITY OF ANY KIND RELATED TO SUCH RISKS, INCLUDING WITHOUT LIMITATION, ANY AND ALL LOSS OR DAMAGE, AND ANY CLAIM OR DEMANDS THEREFOR, ON ACCOUNT OF PERSONAL INJURY, DEATH, LOSS OR DAMAGE TO PERSONAL PROPERTY, WHETHER CAUSED BY THE NEGLIGENT ACTS OR OMISSIONS OF THE RELEASEES OR OTHERWISE; (2) GRANTS PERMISSION TO THE RELEASEES TO UTILIZE THE TICKETHOLDER’S LIKENESS INCIDENTAL TO ANY RECORDING, TELEVISION OR OTHER TRANSMISSION OR REPRODUCTION IN ANY MEDIUM, WHETHER NOW KNOWN OR HEREINAFTER DEVISED, WORLDWIDE AND IN PERPETUITY, (3) AGREES NOT TO TRANSMIT OR FACILITATE TRANSMISSION OF ANY DESCRIPTION, PICTURE OR REPRODUCTION OF THE EVENT OR ANY RELATED EVENT OR ACTIVITY, INCLUDING SCORING-RELATED DATA, WITHOUT THE WRITTEN PERMISSION OF MUO, (4) CONSENTS TO THE REASONABLE INSPECTION OF PERSON AND PROPERTY FOR SECURITY PURPOSES, (5) AGREES NOT TO SEEK AUTOGRAPHS OF PAGEANT CONTESTANTS AND (6) AGREES TO ABIDE BY ALL EVENT POLICIES AND VENUE RULES, AND AGREES THAT A VIOLATION OF THESE POLICIES/RULES CAN BE CAUSE FOR FORFEITURE OF TICKET AND REMOVAL FROM THE EVENT. Ticketholder acknowledge(s) that COVID-19 is extremely contagious and that despite the measures the Event has implemented to help mitigate the risk of transmission, the elimination of risk of exposure and infection to COVID-19 is not currently possible. By entering onto the grounds of the Event using your Ticket you acknowledge and agree to the following for yourself and on behalf of any accompanying minor(s) (who, together with Ticketholder, shall also be deemed to be “you” for purposes of the following): YOU ASSUME ALL RISK AND DANGER ARISING OUT OF YOUR ATTENDANCE INCLUDING, WITHOUT LIMITATION, RISKS RELATED TO COVID-19, LOSS OF YOUR PERSONAL PROPERTY, INJURY TO PERSONS OR PROPERTY OR DEATH, AND YOU HEREBY RELEASE THE RELEASEES FROM ANY AND ALL LIABILITIES ARISING OUT OF SUCH LOSSES, INJURIES, ILLNESS OR DEATH. Ticketholder agrees to indemnify and save and hold harmless Releasees from and against any and all liability they may incur due to Ticketholder’s alleged acts or omissions thereof while present at or around the Event. Releasees shall not be responsible to Ticketholder for punitive, incidental, consequential or special damages. Ticketholder agrees that the releases, waivers, and indemnities herein are intended to be as broad and inclusive as is permitted in the state of Tennessee, and if any portion thereof is held invalid for any reason, it is agreed that the balance thereof shall, notwithstanding, continue in full legal force and effect. Any disputes involving the Releasees shall be resolved by arbitration in the State of Tennessee pursuant to the Commercial Rules of the American Arbitration Association then in force. A judgment upon the award rendered by the arbitrator(s) shall be final and non-appealable and may be entered in any court having jurisdiction thereof. If the Ticketholder is accompanying minor(s) to the Event or any of its related activities, by allowing the minor(s) to attend the Event or any of its related activities with Ticketholder, Ticketholder is deemed to have given all of the foregoing grants of rights, releases and waivers on behalf of such minors.
